For over 40 years, Michael J. O’Donoghue has advised and provided legal services for both national and local companies on matters involving finance, banking, employment, member, partner and shareholder issues, acquisitions, mergers, and complex contractual negotiation and drafting. Mr. O’Donoghue has significant experience in handling the negotiation and documentation of residential and commercial real estate acquisitions, development, and leasing. His clients come from diversified industries including real estate, health care, education, software development, human resources, manufacturing, franchising, and communications companies.

Mr. O’Donoghue’s expertise in the business world is enhanced by his personal experience. He served for 18 years on the Board of Directors of the Southeastern Pennsylvania Transportation Authority (SEPTA) and also served on the boards of Madison Bank, Blue Bell, Pennsylvania and VIST Bank, Wyomissing, Pennsylvania. Mr. O’Donoghue was a founder, and member, of the Board of Rabbit Software Corporation, a publicly traded company, and served on the board of Custom Care America, Inc. Having litigated cases for his first eight years of practice, including ten jury trials, he brings real world litigation experience to his role as a business attorney, a rare trait in most transactional attorneys.

Prior to entering private practice, Mr. O’Donoghue was a law clerk for President Judge David E. Groshens of the Court of Common Pleas of Montgomery County. Thereafter, he was commissioned a Lieutenant in the Judge Advocate General Corps, United States Navy, where for over four years he prosecuted and defended numerous military courts martial and served as legal officer in charge of a United States Naval support activity.

  • Negotiated on behalf of a borrower with a lender the refinance of loans to 14 entities involving over $50 million.
  • Represented borrower in Freddie Mac and Fannie Mae financing totaling over $100 million.
  • Negotiated the successful sale of all of the assets of two different manufacturing facilities despite significant shareholder disputes.
  • Represented client in the acquisition by reverse merger of two companies as it executed an initial public offering.
  • Represented medical practitioners in the negotiation of employment agreements with medical systems.
  • Represented numerous clients in the drafting, negotiation, and termination of employment agreements.
