Joseph M. Gagliardo acts as outside general counsel for the firm’s business clients and advises on a broad range of matters, including commercial and corporate transactions, equity and asset purchases, shareholder/investor rights, intellectual property, information law, trade secrets, technology and operational, and employment issues. Mr. Gagliardo’s practice also focuses on licensing, mergers, acquisitions, unfair competition, government contracts, franchise law, real estate, and regulatory compliance. Additionally, he assists the Commercial Litigation practice group in complex commercial, intellectual property and employment-related disputes.

Mr. Gagliardo has successfully represented the interests of organizations and individual clients, including Fortune 500 companies, small businesses, high-profile individuals, professionals, and entrepreneurs, from a wide-range of industries in high-stakes negotiations, disputes, and investigations. His knowledge, skills and abilities have allowed him to advise clients seeking to reduce risk, increase revenues, ensure regulatory compliance and protect business operations and assets. This includes the enforcement of non-solicitation, non-compete, and non-disclosure agreements as well as intellectual property and trade secrets rights.

Mr. Gagliardo’s wrap-around legal services also includes guidance on how to navigate the increasingly complex regulatory obligations of HIPAA/HITECH, state/federal data, privacy and cybersecurity regulations, federal acquisition regulations, and state/federal franchise regulations. Specifically, he handles the interpretation, drafting, and implementation of regulatory compliance policies and procedures involving digital and social media platforms, workplace and employment matters, federal acquisition regulations, and intellectual property, trade secrets and proprietary information protection. Mr. Gagliardo has a proven track record of obtaining successful outcomes for clients at negotiation tables, courthouses, and alternative dispute resolution (ADR) proceedings in multiple jurisdictions.

Prior to joining Wisler Pearlstine, Mr. Gagliardo was employed by a well-respected franchise law boutique in New York City with a nationwide practice. There, he handled disputes from inception through trial, ADR proceedings, and settlements. His litigation experience also includes more than six years advocating for clients in commercial, business, real estate, fraud-related, financial services, creditors’ rights, and employment disputes.

Representative Matters
  • Successfully assisted and advised analytical laboratory instrument supply manufacturer in acquisition of target company’s assets, trade secrets, domain name, and intellectual property rights, including handling comprehensive due diligence analysis and drafting assignment agreements, as well as company policies governing the use and protection of trade secrets, proprietary information, and intellectual property.
  • Advised client on government contract matter involving the federal acquisition regulations (specifically, FAR 52.222-50, Combating Trafficking in Persons), analyzed requirements to implement a compliance plan, advised client to develop and implement awareness program to notify its employees, agents and subcontractors of the US Government’s policy to combat conduct prohibited by the regulation, and assisted to implement procedures to prevent client’s supply chain personnel from engaging in prohibited acts.
  • Assisted in drafting, negotiation and preparation of franchise-related agreements and franchise disclosure documents on behalf of national franchisors in the hospitality, entertainment, fashion, retail, manufacturing & restaurant industries, to ensure compliance with state/federal franchise regulations. Also managed intellectual property clearance, applications, enforcement, and disputes on behalf of franchise and business clients, as well as negotiated and drafted licensing, co-existence, and work-for-hire agreements.
  • Provided outside general counsel services to private investment banks and bridge lending firms involving financing transactions (to obtain real estate development and project funding ranging from $10,000,000 to $300,000,000), capital raising, acquisitions, divestitures, joint ventures, business loans, and vendor disputes in the private lending and venture capital arena. Negotiated and drafted high-stakes commercial & corporate transactions and advised executives on business strategies and dispute resolution based on analysis of client-investor relationships, loss mitigation, risk analysis and business outlook.
  • Represented Fortune 500 companies, institutional investors, and leading national non-bank mortgage loan servicer, originator, and asset manager in litigation management of complex, diverse portfolios of matters relating to data, privacy, credit reporting, and consumer financial services, including quiet title actions to expunge erroneous satisfactions of mortgages, discharge mortgages, and to cure defects/gaps in chain of title on public land records.
  • Successfully defended Customs House brokerage firm in a proceeding alleging client’s receipt of preferential transfers of approximately $700,000 from a Chapter 7 debtor in violation of the U.S. Bankruptcy Code.
