Mr. O’Donoghue heads the firm’s corporate and commercial business practice.  For over 30 years, he has advised and performed services for both national and local companies on matters involving finance, banking, employment and shareholder issues, acquisitions, mergers, and complex contractual negotiation and drafting.  He has significant experience in handling the negotiation and documentation of residential and commercial real estate acquisitions, development and leasing.  His clients come from diversified industries including software development, human resources, real estate, manufacturing, health care, education, franchising and communications companies.  Mr. O’Donoghue serves on the Board of Directors of the Southeastern Pennsylvania Transportation Authority (SEPTA), and VIST Bank, Wyomissing, PA.  He is a former member of the Board of Rabbit Software Corporation, a publicly traded company and Custom Care America, Inc.  Long active in the Montgomery County Bar, Mr. O’Donoghue has served on its Board and as Chair of its Corporate Counsel, Young Lawyers Section, Public Relations and Construction Committees.  Prior to entering private practice, Mr. O’Donoghue was a law clerk for President Judge David E. Groshens of the Court of Common Pleas of Montgomery County from 1967-1968.  In 1968, he was commissioned a Lt. in the Judge Advocate General Corps, United States Navy, where he prosecuted and defended numerous military courts martial and served as legal officer in charge of a United States Naval support activity.  A graduate of St. Joseph’s University (B.A. 1964), Mr. O’Donoghue received his law degree from Villanova University Law School (1967).

Representative Matters:

• Negotiated on behalf of a borrower with a lender the refinance of loans to 14 entities involving over 50 million dollars.
• Negotiated the successful sale of all of the assets of two different manufacturing facilities despite significant shareholder disputes.
• Represented client in the acquisition by reverse merger of 2 companies as it executed an initial  public offering.
• Represented numerous clients in the drafting, negotiation and termination of employment agreements.
